1. Introduction & Definitions
This consolidated document (the ‘Agreement’) governs the access to and use of the platform known as ‘The Inner Shift’ (the ‘Platform’), operated by The Inner Shift, a proprietorship registered in India, with its registered office in Mumbai (hereinafter referred to as ‘The Inner Shift’, ‘we’, ‘us’, or ‘our’). The Platform serves as an online intermediary enabling Users to connect with Coaches for wellness, spiritual, lifestyle, and personal development sessions (collectively the ‘Services’).
Definitions:
– ‘User(s)’ refers to any person accessing or using the Platform, including Learners and Coaches.
– ‘Learner(s)’ means Users who book or attend sessions, courses, or offerings.
– ‘Coach(es)’ means independent professionals who provide content, advice, coaching, sessions, or courses through the Platform.
– ‘Content’ refers to all materials, information, and data, whether audio, video, written, or otherwise, made available by Coaches or Users through the Platform.
2. Terms & Conditions
2.1 Role as Intermediary: The Inner Shift operates strictly as an intermediary under the Information Technology Act, 2000you agree, related rules and equivalent legislation. We facilitate connections between Learners and Coaches but do not create, endorse, control, or verify the accuracy, completeness, or effectiveness of any Content shared by Coaches.
2.2 Eligibility: Only individuals who are at least 18 years old may use the Platform. Minors may use the Platform only with the consent and supervision of a parent or legal guardian, and the parent/guardian shall be deemed to have accepted full responsibility for such use.
2.3 Payments: Learners must pay applicable fees for seminars, courses, or services through designated payment gateways. Payments once made are non-refundable except as set forth under the Refund & Cancellation Policy. Third-party service providers may impose additional charges, and Users are bound by their terms. The Inner Shift will not collect any financial information of its Learners. If a payment process fails and the payment is not completed, the Platform may share a payment link with the concerned Learners on WhatsApp, which will also be facilitated through Third-Party Service Provider. Once the payment of Course Fee is completed, you will not be able to cancel your registration for the Course. The Inner Shift does not offer refunds or credit of the Course Fee for any reason whatsoever. Purchase of Services will allow you access only to the Course for which you have paid the Course Fee. The Services offered, and the validity/term of your subscription (“Subscription Period”) may vary depending on the Course you purchase.
2.4 User Conduct: Users shall not:
– use the Platform for unlawful purposes;
– upload or share unlawful, obscene, defamatory, pornographic, offensive, invasive, or otherwise prohibited content;
– impersonate another person;
– engage in money laundering, gambling, or activities promoting communal disharmony;
– spread viruses, trojans, malware, or harmful code;
– infringe intellectual property rights;
– mislead others by sharing false, inaccurate, or misleading information;
– insult or harass individuals or communities on grounds of religion, caste, ethnicity, gender, or other protected categories;
-choose not to provide or partially prove requested information
– engage in conduct that threatens the sovereignty, security, or unity of India.
Violation of these provisions shall entitle The Inner Shift to suspend or terminate accounts and report such matters to authorities.
2.5 Third-Party Services: The Platform may require access to third-party applications such as Zoom, YouTube, Wise, and WhatsApp. Users are responsible for reviewing and complying with the terms and policies of such third-party applications.
2.6 Intellectual Property: All intellectual property in the Platform, its design, interface, and features remain the exclusive property of The Inner Shift. User-generated Content remains owned by the User but licensed to The Inner Shift for the purpose of providing Services. Coaches grant The Inner Shift a non-exclusive right to use their images, logos, and likeness for promoting sessions. No right, title or interest in The Inner Shift IP or any part thereof will be deemed to be transferred to a User by the virtue of the User having access to The Inner Shift IP.
By submitting the User-generated Content on the Platform, you hereby grant The Inner Shift a limited, worldwide, non-exclusive, royalty-free, sub-licensable and transferable license to use, reproduce, distribute, share, display, publish, retain, make available online and/or electronically transmit such User-generated Content as well as technical information collected via the Platform to the extent necessary (i) to provide the Platform and our Services; (ii) to perform our obligations under the Platform Terms and other written agreement with the User; (iii) to provide, monitor, correct, and improve the Platform and Services related thereto; (iv) for the Platform and The Inner Shift (and its successors’, subsidiaries and affiliates’) business, including without limitation for promoting and redistributing part or all of the Platform in any media formats and through any media channels; (v) to de-identify User data such that there is no reasonable basis to believe that the information can be used, alone, or in combination with other reasonably available information, to identify any individual or to identify User as the source of such data; (vi) to aggregate User data with other data; and (vii) to comply with applicable laws. However, please note that we will never disclose aggregated or de-identified information in a manner that could identify you as an individual, and all your information shall be processed in accordance with our Privacy Policy.
You also hereby grant each User of the Platform a limited, non-exclusive license to access your User-generated Content through the Platform.
The Inner Shift reserves the right to put on-hold or reject or suspend or terminate your registration on the Platform for the purpose of complying with the legal and regulatory requirements.
The Inner Shift reserves the right to remove you and/or the User-generated Content without notice if you violate any provisions of the Platform Terms.
The Inner Shift may modify, terminate, or refuse to provide Services at any time for any reason, without notice.
Notwithstanding anything contrary stated in the Platform Terms, in its sole discretion, The Inner Shift may remove anyone from the Platform at any time for any reason.
We do not guarantee continuous, uninterrupted or secure access to the Platform, and operation of the Platform may be interfered by numerous factors outside our control. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Any failure by The Inner Shift will to act with respect to any breach by you or others does not waive our right to act with respect to subsequent or similar breaches.
You also hereby grant each User of the Platform a limited, non-exclusive license to access your User-generated Content through the Platform.
2.7 Disclaimers: The Platform and Services are provided on an ‘as is’ basis without warranties. The Inner Shift does not guarantee outcomes, results, or accuracy of any advice provided by Coaches. Users are advised to exercise their own judgment and seek professional medical, legal, or financial advice where appropriate.
The Inner Shift has no obligation to monitor any content that appears on the Platform or review any conduct occurring through the Platform, including any interactions between Users, however, if The Inner Shift receives notice or becomes aware of, any violation of the Platform Terms, then, The Inner Shift reserves the right to refuse your access to the Platform, terminate accounts or remove such violating content at any time without notice to you.
To the fullest extent permitted by law, the inner shift excludes all warranties, conditions, terms or representations about the accuracy, security, reliability, quality, availability or completeness of the platform, user-generated content on the platform, or the content of any sites so linked and assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of user-generated content or any content on the platform, (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the platform, (iii) any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein, (iv) any interruption or cessation of transmission to or from the platform, (iv) any bugs, viruses, trojan horses, or the like which may be transmitted to or through the platform by any third party, and/or (v) any errors or omissions in any user-generated content or any other content or for any loss or damage of any kind incurred as a result of the use of any user- generated content or any other content that is posted, emailed, transmitted, or otherwise made available via the platform as the inner shift is strictly an intermediary as under the information technology act, 2000. The inner shift does not warrant, endorse, guarantee, or assume responsibility for any user- generated content or the platform advertised or offered by a third party through the platform or any hyperlinked services or featured in any banner or other advertising, and the inner shift will not be a party to or in any way be responsible for monitoring any transaction between you and third-party providers of user-generated content or services. As with the purchase of a service through any medium or in any environment, you should use your best judgment and exercise caution where appropriate.
2.8 Indemnity: Users agree to indemnify and hold harmless The Inner Shift, its officers, employees, and agents against any claims, damages, or liabilities arising from their use of the Platform or third party right, violation of terms, or reliance on Content.
2.9 Limitation of Liability: To the maximum extent permitted by law, The Inner Shift shall not be liable for any direct, indirect, incidental, punitive, or consequential damages arising out of the use of the Platform or reliance on Content.
2.10 You agree to be bound by the Platform Terms and undertake to read and accept notice of any amendments or modifications to the Platform Terms, which may be published from time to time. Your continued use of the Platform will be deemed to be an acceptance of the modified Platform Terms.
2.10 If you are a coach your access and use of the platform may additionally be subject to separate agreements with The Inner Shift and shall be collectively governed by terms of such agreement.
2.11 users are responsible for maintaining the confidentiality of your account and password to access the platform. You agree to accept responsibility for all activities that occur under your account.
You state that the information provided by you at the time of the registration is correct, true and accurate, and you agree to update the same as and when there is any change in the said information. Please read our Privacy Policy to understand how we handle your information.
You covenant to not violate, circumvent or attempt to violate or circumvent any data security measures or authentication procedures employed by the Platform and/or The Inner Shift or attempt to interfere with the Platform by any means including, without limitation hacking or doing any activity which results in the interruption in either the uptime of the Platform or the manner in which it is displayed.
2.12 Users represent that the information provided by you at the time of the registration is correct, true and accurate, and you agree to update the same as when there is any change in the said information. Please read our Privacy Policy to understand how we handle your information.
2.13 You covenant to not collect or attempt to collect personal data or any other kind of information about other Users including without limitation, by employing scraping tools.
2.14 The Inner Shift may, in its sole discretion, modify or revise the Platform Terms and policies at any time, and you agree to be bound by such modifications or revisions.
Your continued use of the Platform post any modification of the Platform Terms shall be taken as your consent and acceptance to such modifications. Nothing herein shall be deemed to confer any third-party rights or benefits. You are advised to check our Platform frequently to see recent changes and to keep yourself updated with the most recent updates.

The refunded amount would be credited to the customer’s bank account within 3 to 4 days .
